READ THIS FIRST. DealerFlow Terminal is a software tool for informational and educational purposes only. It is NOT investment advice, NOT a recommendation to buy or sell any security, and NOT a substitute for a registered investment adviser, broker-dealer, financial planner, attorney, or accountant. By using the platform you accept all risk for your own trading decisions and agree to the limitation of liability set out in Section 9 below.

1. Acceptance

By accessing or using DealerFlow Terminal (the "Service") — including the public landing page at dealerflowterminal.com, the authenticated application at dealerflowterminal.com/app, the institutional surface at dealerflowterminal.com/dftv3, any API, mobile interface, or scheduled report — you ("you", "Subscriber") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

2. The Service

DealerFlow Terminal is a software-as-a-service trading-research platform operated by DealerFlow Terminal Inc. ("DealerFlow", "we", "us", "our"). The Service includes: real-time market-data displays, computed signals and scores, watchlists, scanning, prediction histories, backtest tools, calibration diagnostics, and operator-facing analytics. Functionality available to you depends on your subscription tier (Pro Retail or Institutional). We may add, remove, or modify features at any time.

The Service is a software analytics tool, not a financial adviser. Specifically:

4. Risk Disclosure

Trading securities, derivatives, options, and other financial instruments involves substantial risk, including the risk of loss of the entire amount invested. Past performance, backtest results, simulated returns, and modeled win rates are not indicative of future results. Calibration metrics, credible intervals, and confidence ranges describe the historical reliability of the model — not a guarantee that any specific future trade will be profitable. Market conditions can change abruptly and unpredictably, and no algorithm can eliminate that risk.

5. Eligibility & Account

You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is greater) and legally able to enter into a binding contract. You must provide accurate registration information, keep credentials confidential, and notify us promptly of any unauthorized account access. You may not share a single seat across multiple individuals; the Institutional tier supports per-seat licensing for teams.

All software, models, weights, signal definitions, scoring formulas, UI designs, documentation, and audit-trail records of the Service are the exclusive property of DealerFlow Terminal Inc. or its licensors. Your subscription grants you a limited, revocable, non-exclusive, non-transferable license to use the Service during the subscription term. Nothing herein transfers ownership of any intellectual property to you.

Market-data feeds (e.g. from Schwab, exchanges, third-party providers) remain the property of their respective owners; your access is licensed through us for use inside the Service only and may not be redistributed.

LIMITATION OF LIABILITY. To the maximum extent permitted by applicable law:

You agree to indemnify and hold harmless DealerFlow and its affiliates from any third-party claim arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any trade or investment decision you make in reliance on Service output.

11. Termination

You may cancel your subscription at any time from the account settings page or by contacting support@dealerflowterminal.com. We may suspend or terminate your account for breach of these Terms, fraudulent activity, non-payment, or for any other reason at our reasonable discretion. Upon termination, your right to access the Service ceases; provisions of these Terms that by their nature survive termination (including Sections 3, 4, 8, 9, 10, 12, 13) will survive.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute, controversy, or claim arising out of or related to these Terms or the Service will be resolved by binding arbitration on an individual basis, administered by JAMS in accordance with its Streamlined Arbitration Rules then in effect, with arbitration held in Wilmington, Delaware (or virtually). You waive any right to a jury trial and to participate in any class or representative action. Either party may seek injunctive or equitable relief from a court of competent jurisdiction for matters that cannot be resolved by arbitration, including intellectual-property infringement.

13. Changes to These Terms

We may update these Terms from time to time. The "Version" identifier and "Effective Date" at the top of this page record each version. We will notify active subscribers by email when material changes take effect; continued use of the Service after the effective date constitutes acceptance. Prior versions are retained in our audit trail and available on request.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes what data we collect (account details, usage logs, telemetry), how we secure it (TLS in transit, AES-256 at rest, AWS Cognito authentication, PostgreSQL row-level security per tenant), and your rights under applicable law. We do not sell your personal data. We do not display third-party advertising. Trading data you generate inside the platform is yours; we use it only to provide the Service and to improve our models in aggregated/anonymized form.
